OFFICIAL RULES

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

 PROMOTION PERIOD: The ELEMENT 74, LLC “Vela Sweepstakes” (the “Promotion”) begins on or about 8:00:00 a.m. Central Standard Time (“CST”) on July 11, 2022 and ends at 11:59:59 p.m. ET on July 12, 2022 (the “Promotion Period”). The Promotion is sponsored by Element 74, LLC 1610 N Kingshighway St, Ste 300, Cape Girardeau, MO 63701 (the “Sponsor”). The official clock for purposes of the Promotion is the computer of the Sponsor.  

 ELIGIBILITY AND PARTICIPATION REQUIREMENTS:  The Promotion will be open to all legal United States residents, that are in attendance at the 2022 TAASA Annual Conference, “Look Who’s 40: Reflecting on Our Past and Shaping a Brighter Future” and who have reached the age of majority (19-AL; 18-other states) in his/her state of residence at the time of entry. Attendees are defined as anyone who has registered for the 2022 TAASA Annual Conference, “Look Who’s 40: Reflecting on Our Past and Shaping a Brighter Future.” THIS SWEEPSTAKES IS NOT OPEN TO THE GENERAL PUBLIC. Officers, members, directors, representatives and employees of the Sponsor, and any of its parent companies, affiliated companies, subsidiaries, dealers, franchisees, licensees, distributors, suppliers, participating retailers, advertising / promotion/judging agencies, persons engaged in the development, production or distribution of materials for this Promotion, and Compliance Sweepstakes Services (the “Administrator”)  (collectively, the “Released Parties”) and the immediate family members (defined as spouse, parents, grandparents, children, grandchildren, siblings, – whether biological, adopted, step or in-law) of such individuals, or persons living in the same household as such individuals (whether related or not), are not eligible to participate in the Promotion. The Promotion is subject to all applicable federal, state, and local laws and regulations. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor and Administrator’s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. Void where prohibited, taxed, or restricted by law.

 HOW TO ENTER: An individual will be deemed a Participant (the “Participant”) in the Promotion if he/she is eligible, and enters the Sweepstakes using at least one (1) of two (2) methods of entry: a) Each Participant that visits https://www.veladirect.com/giveaway/ (the “Web Site”) and follow the prompts to complete the registration process. Each Participant will need to provide the following information to be entered into the Sweepstakes: first name, last name, phone number, and email address. Each Participant that fully completes the registration process during the Promotion Period will receive one (1) Sweepstakes entry. Each Participant that fully completes the registration process during the Promotion Period and “Likes” the @VelaDirect Facebook page https://m.facebook.com/VelaDirect/ (the “Facebook Page”) will receive two (2) entries. Each Participant that fully completes the registration process during the Promotion Period, “Likes” the Vela Direct Facebook page https://m.facebook.com/VelaDirect/ (the “Facebook Page”), and “Shares” a post on Facebook with the hashtag “#WhyVela”will receive four (4) entries.; or b) To enter the Sweepstakes without completing the registration, Participant can enter by hand writing on a 3”x 5” card: Element 74, LLC “Vela Giveaway” Sweepstakes entry, your first and last name, address, city, state, zip code, telephone number, e-mail address, date of birth, employer name, and title.  Insert the card in a standard business-size envelope, with handwritten return address including first and last name and complete mailing address on front of the envelope, and mail to: CSS / Element 74, LLC 1610 N Kingshighway, Ste 300, Cape Girardeau, MO 63701.  Each valid mail-in entry will receive one (1) Sweepstakes entry. All mail-in entries must include all requested information and format (as stated above) to be considered a valid entry.  Mail-in entries must be received by July 13, 2022. Requests for confirmation of receipt of mail-in entries will not be acknowledged. By entering the Sweepstakes, the Participant acknowledges they have read and agree with these Official Rules.

 Limit – four (4) entries per Participant during the Promotion Period regardless of method of entry. All entries must be received during the Promotion Period. All required information must be completed to enter and to be eligible to win. Incomplete entries will be disqualified. Sponsor reserves the right, in its sole discretion, to void any and all entries of a Participant that submits more than the stated maximum limit of entries by using multiple/different addresses, identities, or any other methods, or who Sponsor believes has attempted to tamper with, influence or impair the administration, security, fairness, or proper play of this Sweepstakes.  The use of automated entry devices is prohibited and no mechanically reproduced entries are allowed; all such entries are void. Released Parties are not responsible for lost, late, incomplete, illegible, incorrect, damaged, delayed, garbled, unintelligible, undelivered, misdirected, or postage-due registrations, entries or mail, which will be disqualified. All entries become the exclusive property of Sponsor and will not be acknowledged or returned.

PRIZES: Two (2) prizes are available to be awarded. Each Prize Winner will receive a Snow White HP Chromebook 14-inch laptop with 180 degree hinge, full HD screen, AMD dual-core a4-9120 Processor, 4 GB SDRAM, 32 GB eMMC Storage, Chrome OS. The Approximate Retail value (“ARV”) of each prize is $280.  Each winner is subject to the debit card terms and conditions. Total prize pool is valued at $560.

 PRIZE WINNER SELECTION:  The prize winners will be selected from among all eligible entries received, in a random drawing on or about July 13, 2022, by Element 74, LLC (“Administrator”), whose decisions are final and not subject to challenge and/or appeal in all matters relating to this Sweepstakes. Odds of winning a prize will depend on the total number of eligible entries received. Each prize winner will be notified by e-mail and phone. Upon initial notification and verification of each prize winner, confirmation will be sent to the prize winner via email and phone call. Each prize winner will receive their prize at the Vela Direct Booth located at the 2022 TAASA Annual Conference, “Look Who’s 40: Reflecting on Our Past and Shaping a Brighter Future”

PRIZE TERMS AND CONDITIONS:  Each prize winner is required to comply with any and all applicable federal, state and local laws, rules and regulations. All federal, state, and local taxes associated with any prize awarded to each winner, as well as all other costs involved in claiming, operating, or owning any such prize, are the sole responsibility of the respective winner.  Each prize winner will be required to provide verification of identity and age in-person at the Vela Direct table located at the 2022 TAASA Annual Conference, “Look Who’s 40: Reflecting on Our Past and Shaping a Brighter Future” and confirm through e-mail within 2 hours of receiving winning notification. If a prize or prize notification is returned as unclaimed or undeliverable to a potential winner, if potential winner cannot be reached within 2 hours from the first notification attempt, if potential winner fails to provide verification of identity and age within the specified time period, and/or if a potential winner is not in compliance with these Official Rules, then such person shall be disqualified and an alternate winner will be selected for the prize at issue. To claim a prize, you will be required to provide your correct full-name, telephone number, and e-mail address. The Prize Acceptance Release is subject to verification by Sponsor and all potential winners are subject to verification before any prize will be awarded.

 The Sponsor and Released Parties have not made any warranty, representation or guarantee, expressed or implied, in fact or in law, with respect to any prize awarded and specifically disclaim all such warranties, including, without limitation, any warranty of merchantability or fitness for a particular purpose. The prizes are awarded without warranty of any kind either expressed or implied. A prize may not be sold, traded, or commissioned, and is not exchangeable, transferable, or redeemable for cash except in Sponsor’s sole discretion. Prize details and availability are subject to change. There are no substitutions unless specified by the Sponsor. The Sponsor reserves the right at its sole discretion to substitute any prize with another prize of equal or greater value. The Administrator is not the supplier or guarantor of any prize. The Sponsor and Released Parties are not in any way responsible or liable for damages resulting from shipping and handling, loss, use or misuse of any prize awarded in this Promotion.

 Each prize winner will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prize they receive. The stated “ARV” of the prize is based on available information provided to Sponsor, and any difference in ARV at the time of awarding will not be awarded.

PUBLICITY:  Each prize winner’s acceptance of a prize constitutes permission (except where prohibited) for the Sponsor to use the winner’s name, photograph, video, likeness, statements, biographical information and voice for any and all public relations, advertising and/or promotional purposes as determined by Sponsor, in all forms of media and by all manners (now and hereafter known), in perpetuity, without notice, consent, review or approval or further compensation.

PERSONAL INFORMATION / OPT-IN: By entering the Sweepstakes, you consent for the Sponsor to obtain, use, and transfer your name, email, and phone number (“Personal Information”) for the purpose of administering this Sweepstakes and such Personal Information will be kept by Sponsor for marketing purposes in accordance with its privacy policy (https://www.element74.com/privacy-policy/). The information that you provide in connection with the entry process will be used by Sponsor only, and will not be sold or provided to another company. You will remain eligible for this Sweepstakes whether or not you opt in to receive promotional e-mails from the Sponsor and will have the ability to opt out of receiving future promotional e-mails by clicking on the link contained in the most recent promotional e-mail received.

 GENERAL CONDITIONS: The Sweepstakes is offered to eligible participants as specified in these official rules, but void where prohibited or restricted by law. All Participants, as a condition of participation or entering in this Sweepstakes, agree to defend, indemnify, release and hold harmless Element 74, LLC, its affiliates,  founding company, and the officers, directors, and employees, of Sponsor and of its affiliates, and Released Parties from and against any and all liability, loss, claims, damages, injuries or actions of any kind whatsoever, without limitation, for injuries, death, damages, or losses to persons or property, as well as any claims based on publicity rights or invasion of privacy, which may be sustained in connection with: (a) accessing the Sponsor’s Web Site; (b) participating in any aspect of the Promotion, including, without limitation, while preparing for, participating in and/or traveling to or from any prize or Promotion-related activity; (c) the delivery, receipt, ownership, possession, use or misuse of any prize awarded; (d) viruses or any downloading or other problems with the Promotion application; or (e) any typographical, production, printing, or other error in these Official Rules, advertisements, or the announcement of offering of any prize or prize winners. You accept and agree to be bound by these rules and the decisions of the Sponsor and Administrator relating to your participation in this Sweepstakes, selection of winners and awarding of prizes, whose decisions are final and binding in all respects. The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) computer error, electronic or technical malfunctions or failures of any kind, including but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) late, lost, undeliverable, damaged or stolen mail. Sponsor makes no representations or warranties of any kind concerning the appearance, safety or performance of any prize. Each prize winner bears all liability and risk of loss or damage to his/her respective prize after it has been delivered. Sponsor is not responsible for events beyond the Sponsor’s reasonable control (including, without limitation, due to infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, fire, flood, storm, or other natural cataclysm, riot, strike, civil commotion, government regulation, or any other causes) that may jeopardize the administration, security, fairness, integrity or proper conduct of the promotion. The Sponsor reserves the right to disqualify any person who tampers with, or intentionally infects with a virus, any of the networks, servers or computers that are used in this promotion. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor reserves the right to suspend or terminate the Sweepstakes, in whole or in part, at any time, without notice, and award the prizes using all non-suspect eligible entries received as of or after (if applicable) this termination or suspension date in the event that, in the sole discretion of Sponsor, the administration, security, fairness, integrity, or proper conduct of the Sweepstakes is jeopardized. In no event will Sponsor be obligated to award more prizes than the number of prizes stated in these Official Rules. If Sponsor determines that more prize claims are submitted or more prize notices are distributed than the number of prizes offered in these Official Rules. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

 DISPUTES: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court in Orlando, Florida; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event legal fees; and (3) under no circumstances may entrant obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas.

 RULES: The sweepstakes will be governed by these official rules. By participating in this Sweepstakes, entrants agree to be bound by these official rules and decisions of Sponsor, Administrator, and its agents, whose decisions are final on all matters relating to this sweepstakes.
